These General Terms and Conditions (Terms) govern the relationship between Axtid PTY LTD, ACN 691 095 509 (we, us, or our) and the client (you or your) in relation to the provision of digital marketing services (Services). By engaging our Services or accessing our website, you agree to be bound by these Terms.

Axtid provides a suite of services including, but not limited to, Website Design, Website Development (Webflow, Framer, Next.js, Shopify, WordPress), SEO and AI-driven optimisation, Paid Advertising (Meta/Google), Email Marketing, and our proprietary "Pay Per Lead" (PPL) and "Axtid Twist" Audit services. The specific scope of work is defined in Campaign Particulars.

● Service Fees: You agree to pay the fees set out in your Service Agreement.
● Pay Per Lead (PPL): For PPL accounts, you agree to pay for every lead that meets the "Qualified Lead" criteria outlined in your Statement of Work (SOW).
● Payment Terms: All invoices are payable within 7 days of the date of the invoice unless otherwise stated.
● GST: All prices are quoted in Australian Dollars (AUD) and are exclusive of GST.

Client must provide us with:
● Timely access to necessary platforms (Google Ads, Meta Business Suite, etc.).
● Accurate business data, including current sales channels, customer acquisition costs, and churn rates.
● Necessary approvals for creative and technical deployments within 72 hours to maintain project momentum.

● Client Content: You retain ownership of all materials provided to us. You warrant that you own or have the licence to use these materials.
● Axtid Property: We retain ownership of all proprietary processes, including "The Axtid Twist" checklist and any software, AI agents, or automated workflows created during the service, unless explicitly transferred in writing.
● Final Work: Upon full payment of all fees, we grant you a perpetual, non-exclusive licence to use the final deliverables (e.g., your website) for your business operations.

To the extent permitted by the Australian Consumer Law:
● Axtid PTY LTD is not liable for any loss or damage arising from third-party platforms (e.g. social media, hosting downtime, or content takedown).
● Our liability for any claim related to the Services is limited to the total amount paid by you for those Services in the three months preceding the claim.
● We do not guarantee specific search engine rankings or conversion rates due to the external nature of third-party algorithms.

Either party may terminate a monthly retainer by providing 30 days’ written notice. Axtid reserves the right to terminate immediately if fees remain unpaid or if the client breaches these Terms.
